Stock Al Bella Treat. Sell at your own margin.

1. Nature of the relationship

This Reseller & Wholesale Programme establishes an independent buyer-seller relationship between the Reseller and Al Bella Ag, trading as "Al Bella Treat" ("the Company"). This is a wholesale purchase arrangement, not an employment, agency, franchise, or exclusive distributorship relationship unless separately agreed in writing.

2. Application & tier assignment

Applications are reviewed manually. Wholesale tier and discount percentage are determined by the Company based on order value, business type, and order frequency, at its sole discretion. Published tier figures are indicative and may be adjusted per applicant.

3. Right of rejection and discretion

The Company reserves the right to:

• Accept or reject any wholesale application without obligation to disclose its reasoning;
• Set, revise, or withdraw wholesale pricing and discount tiers at its discretion, with reasonable notice for existing resellers;
• Decline future orders from a Reseller in cases of payment default, misuse of pricing (e.g. reselling below agreed minimums in a way that damages the brand), or other conduct it reasonably believes harms its business;
• Limit order quantities based on current stock and production capacity, particularly for live insect products.

4. Ownership of stock & resale pricing

Once a wholesale order is paid for and delivered, ownership of that stock transfers fully to the Reseller. The Reseller is free to set their own resale price. The Company does not guarantee any minimum resale margin, and resale price decisions are entirely the Reseller's responsibility.

5. Payment terms

Wholesale orders are payable in full prior to dispatch, or via Cash on Delivery where agreed for a specific order. The Company does not offer consignment (pay-after-sale) arrangements under this Programme unless explicitly agreed otherwise in writing for a specific Reseller.

6. Product condition & live goods

For live insect products (e.g. live mealworms), the Company will use reasonable care in packaging and shipping but cannot guarantee 100% live arrival rate given delivery conditions across Pakistan. The Reseller should inspect stock promptly upon arrival and report any significant spoilage within 24 hours of delivery for review; claims made after this window may not be honoured. Dried/non-perishable products are not subject to this clause.

7. Use of brand name & marketing

Resellers may reference "Al Bella Treat" by name when marketing the products they have purchased (e.g. "Now stocking Al Bella Treat mealworms"), but may not imply an exclusive distributorship, official partnership status, or use the Company's logo in a misleading way without separate written permission.

8. Returns & defective stock

Wholesale orders are generally final once delivered and inspected, except in cases of genuinely defective or significantly damaged stock reported within 48 hours of delivery, which will be reviewed case-by-case at the Company's discretion.

9. Term & termination

Either party may discontinue the wholesale relationship at any time. The Company may decline future orders immediately in cases of payment default or conduct that breaches these terms. This does not affect any already-completed and paid order.

10. Confidentiality

Specific wholesale pricing and discount terms extended to a Reseller should not be disclosed publicly or shared with other resellers/competitors without the Company's consent.

11. Limitation of liability

The Company's total liability under this agreement is limited to the value of the specific order giving rise to a claim. The Company is not liable for indirect or consequential losses, including the Reseller's lost resale profit.

12. Governing law & disputes

This agreement is governed by the laws of the Islamic Republic of Pakistan. Disputes will first be addressed through good-faith negotiation; failing resolution, they fall within the jurisdiction of the courts of Karachi.

13. Acknowledgement

By submitting this application, the Reseller confirms the information provided is accurate, and that they have read, understood, and agree to be bound by these terms, including the Company's right of rejection described in Section 3.
