1. Nature of the relationship
This Partner Programme establishes an independent referral/affiliate relationship between the Partner and Al Bella Ag, trading as "Al Bella Treat" ("the Company"). Nothing in this agreement creates an employment, agency, joint venture, or partnership-in-law relationship between the Partner and the Company. The Partner is not authorised to bind the Company to any obligation, make representations on its behalf beyond what is provided in official marketing material, or act as its legal representative.
2. Eligibility & verification
Registration is open to licensed veterinarians, avian/exotic specialists, poultry consultants, and recognised bird-society office-bearers within Pakistan. The Company may request supporting documentation (registration certificates, clinic proof, CNIC) to verify an applicant's credentials. Submission of false, misleading, or unverifiable information is grounds for immediate rejection or termination without entitlement to any accrued commission.
3. Right of rejection and discretion
The Company reserves the unconditional right to:
- Accept or reject any application at its sole discretion, without obligation to disclose its reasoning;
- Suspend or terminate any active Partner code at any time, with or without prior notice, including (but not limited to) cases of suspected misuse, fraud, misrepresentation, code-sharing with unauthorised third parties, or conduct that the Company reasonably believes harms its brand, products, or customers;
- Modify, pause, or discontinue the Partner Programme in its entirety, with reasonable notice to active partners where practicable;
- Decline to honour a specific order's commission where that order is cancelled, returned, refunded, or found to involve fraudulent activity.
This right of rejection extends to the application stage, the active partnership stage, and the payout stage independently of one another.
4. Commission structure
Approved Partners earn a flat commission of 10% of the order subtotal (excluding delivery/shipping charges, taxes, and any third-party payment fees) for every order successfully completed using their unique Partner code. Commission is calculated only on orders that are paid for and not subsequently cancelled, returned, or refunded. The Company may, at its discretion and with notice, revise the commission percentage for future orders; revisions will not be applied retroactively to already-completed orders.
5. Payment terms
Commissions are calculated on a calendar-month basis and disbursed via JazzCash or Easypaisa, to the wallet number provided by the Partner, within a reasonable period (typically 7–10 working days) following month-end. The Company is not responsible for delays, failures, or losses arising from incorrect wallet details provided by the Partner, or from outages of third-party payment networks. A minimum payout threshold may apply; balances below the threshold carry forward to the following month.
6. Code usage & conduct
The Partner's code is personal and non-transferable. The Partner agrees not to: (a) use the code for their own personal purchases for the purpose of self-generating commission; (b) post the code on public coupon/deal-aggregator websites not directed at their own client base; (c) make false, exaggerated, or medically unsupported claims about Al Bella Treat products when promoting the code; (d) use the Company's name, logo, or product imagery in a way that is misleading or unauthorised. Any sharing of the code must be in the Partner's own professional capacity and consistent with the standards of their profession.
7. Product claims & professional responsibility
The Company provides product specifications (protein content, composition, recommended use) which Partners may reference. Partners remain solely responsible for any clinical advice, dosage recommendation, or medical guidance they personally give to their own clients — the Company assumes no liability for advice given by a Partner in their professional capacity, and the Partner's registration in this Programme should not be represented to clients as a formal medical endorsement or certification by any regulatory body.
8. Term & termination
This agreement remains in effect until terminated by either party. The Partner may withdraw from the Programme at any time by written notice (including WhatsApp or email) to the Company. The Company may terminate this agreement immediately upon a breach of these terms, or with seven (7) days' notice for convenience. Upon termination, the Partner's code will be deactivated; any commission earned on valid, completed orders prior to the termination date will still be paid in the following payout cycle, unless termination was due to fraud or material breach, in which case the Company reserves the right to withhold such payment pending investigation.
9. Confidentiality
Commission rates, internal Partner identifiers, and any non-public business information shared with the Partner are to be treated as confidential and not disclosed to competitors or unrelated third parties.
10. Limitation of liability
The Company's total liability to the Partner under this agreement, however arising, is limited to the value of unpaid, valid commission owed at the time the issue arises. The Company is not liable for indirect, incidental, or consequential loss, including loss of anticipated income.
11. Governing law & disputes
This agreement is governed by the laws of the Islamic Republic of Pakistan. Any dispute arising from this agreement shall first be addressed through good-faith negotiation between the Partner and the Company; failing resolution, disputes shall fall within the jurisdiction of the courts of Karachi.
12. Changes to these terms
The Company may update these terms from time to time. Continued participation in the Programme after such changes are communicated constitutes acceptance of the revised terms. Material changes will be communicated to active Partners via email or WhatsApp.
13. Acknowledgement
By submitting the registration form, the applicant confirms that they have read, understood, and agree to be bound by these terms, and that the professional and payout information provided is true and accurate to the best of their knowledge.
